Terms of Use

Welcome to OyaLinkup. These Terms of Use (“Terms”) form a legally binding agreement between you and OyaLinkup Ltd (“OyaLinkup”, “we”, “our”, “us”). By creating an account, accessing, or using the OyaLinkup platform in any way, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the platform. We reserve the right to update these Terms at any time. Continued use of the platform after a change constitutes your acceptance of the revised Terms. We will give reasonable notice of material changes via email or an in-app banner.

OyaLinkup is a ward-based opportunity network that connects Nigerian seekers with trusted providers. We provide a platform where providers can build profiles and catalogs, and seekers can discover, save, and send inquiries to those providers. OyaLinkup is not a party to any transaction between users and providers; we provide the technology infrastructure only.

OyaLinkup Ltd is incorporated in the Federal Republic of Nigeria under RC number 9488622.

Throughout these Terms, the following definitions apply:

• “Platform”: the OyaLinkup website at oyalinkup.com and all associated services and APIs.
• “User”: any individual who creates an account on the platform.
• “Seeker”: a User who browses, saves businesses, or sends inquiries.
• “Provider”: a User who registers and manages one or more business profiles on the platform.
• “Business Profile” or “Profile”: a published page representing a business, including its name, description, category, catalog, and contact information.
• “Linkup”: the action of a Seeker saving or following a Business Profile to receive updates and maintain a relationship with that business.
• “Inquiry”: a direct message from a Seeker to a Provider initiated through the platform.
• “Content”: any text, images, reviews, or other material submitted to the platform by a User.

To create an account and use OyaLinkup you must be at least 13 years old, consistent with the Nigeria Data Protection Act 2023 (§31(5)) and the Child's Right Act 2003.

Certain categories of business profiles may involve age-restricted goods or services (for example, alcohol, adult entertainment, or tobacco). Before sending an inquiry or interacting with such a profile, you will be asked to confirm that you are at least 18 years old. If you are under 18 you must not use those specific features.

If you are under 18, a parent or legal guardian must review these Terms on your behalf and be responsible for your use of the platform. We reserve the right to terminate accounts found to belong to users under the minimum age.

Providers must be at least 18 years old and have the legal authority to represent the business they are registering.

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with any other person.

You agree to:

• Provide a valid phone number and keep it current
• Choose a display name that does not impersonate another person or business
• Notify us immediately via our contact page if you suspect unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate any account that violates these Terms or is found to contain false information.

All Users agree to use the platform lawfully and in good faith. You must not:

• Use the platform to engage in fraud, deception, or misrepresentation
• Post false, misleading, defamatory, or unlawful content
• Harass, intimidate, threaten, or abuse any other User or Provider
• Attempt to circumvent security measures or access accounts or systems you are not authorised to access
• Use automated tools (bots, scrapers, crawlers) to extract data from the platform without our written consent
• Reproduce, distribute, or create derivative works from the platform without authorisation
• Use the platform in a manner that violates any applicable Nigerian or international law

Providers are solely responsible for the accuracy, legality, and completeness of their profiles. By creating a profile, you represent and warrant that:

• You have the legal right to offer the products or services described
• All information (including business name, category, and contact details) is accurate and not misleading
• Images and branding you upload do not infringe any third-party intellectual property rights
• Your business holds all licences and permits required by Nigerian law for your category of trade
• If your profile falls within an age-restricted category, you will not market those products or services to minors

We reserve the right to remove or suspend any profile that we determine, in our sole discretion, to violate these Terms, to be misleading, or to represent a risk to users.

OyaLinkup provides the communication infrastructure for Seekers and Providers to connect. We are not a party to any transaction, agreement, or arrangement that arises from that connection.

• Any contract for the sale of goods or provision of services is solely between the Seeker and the Provider
• We do not guarantee the quality, legality, safety, or availability of any product or service offered on the platform
• We do not process payments on behalf of any business; payment arrangements are made directly between Seeker and Provider
• Disputes between Seekers and Providers must be resolved between those parties; OyaLinkup will cooperate where legally required but cannot arbitrate commercial disputes

In addition to the general obligations in Section 6, the following are strictly prohibited on OyaLinkup:

• Offering illegal goods or services through your profile, including but not limited to controlled substances, counterfeit items, and unlicensed firearms
• Using the inquiry or messaging system to send unsolicited commercial messages (spam)
• Creating multiple accounts to circumvent a suspension or to manipulate review scores
• Offering or accepting payments to post or remove reviews
• Impersonating any person, business, or OyaLinkup employee
• Posting content that is sexually explicit and involves or targets minors
• Engaging in any activity that could expose OyaLinkup or its users to legal liability

Violations may result in immediate account suspension, permanent banning, and referral to law enforcement where appropriate.

You retain ownership of Content you post to the platform. By posting Content, you grant OyaLinkup a worldwide, royalty-free, non-exclusive licence to store, display, and distribute that Content solely for the purpose of operating and improving the platform.

All reviews and public content must be:

• Based on genuine first-hand experience with the business
• Honest and not defamatory
• Free of personal attacks, hate speech, or discriminatory language
• Your own original work (not copied from other sources)

We reserve the right to remove any Content that violates these guidelines, these Terms, or applicable law, without prior notice.

The OyaLinkup name, logo, brand, platform design, and all software are the exclusive property of OyaLinkup Ltd and are protected by Nigerian and international intellectual property law. You must not use our trademarks or branding without prior written consent.

All rights not expressly granted in these Terms are reserved. Nothing in these Terms transfers any intellectual property rights to you.

We aim to provide a reliable service but we do not guarantee uninterrupted availability. The platform may be unavailable during maintenance windows, unexpected outages, or circumstances beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any part of the platform at any time, with reasonable notice where practicable. We will not be liable to you for any such modification, suspension, or discontinuation.

The platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

OyaLinkup does not warrant that:

• The platform will be error-free or uninterrupted
• Information provided by Providers is accurate, complete, or up to date
• The platform will meet your specific requirements or expectations

Any reliance you place on information found on the platform is at your own risk.

To the maximum extent permitted by Nigerian law, OyaLinkup Ltd, its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunity
• Damages arising from your reliance on Content posted by Providers or other Users
• Damages arising from transactions, disputes, or arrangements between Seekers and Providers
• Any damages caused by events outside our reasonable control (force majeure)

Where liability cannot be excluded by law, our total aggregate liability to you for all claims shall not exceed the greater of ₦10,000 (ten thousand Naira) or the total fees paid by you to OyaLinkup in the 12 months preceding the claim.

You may close your account at any time via our contact page. Upon account closure, your public profile and business profiles will be removed. We may retain certain data as required by law or for fraud prevention purposes, as described in our Privacy Policy.

We may suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, or where required by law. Termination does not affect any rights or obligations that arose before the termination date.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. You agree to submit to the exclusive jurisdiction of the courts of Lagos State for the resolution of any dispute arising out of or in connection with these Terms or your use of the platform.
